PLEASE READ THESE TERMS OF USE ("Terms") CAREFULLY. BY ACCESSING OR USING THE WEBSITE LOCATED AT https://sentinel.codes, ANY SUB‑DOMAIN, OR ANY RELATED APPLICATION OR INTERFACE (COLLECTIVELY, THE "Service"), YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS CONTAINED HEREIN. IF YOU DO NOT AGREE, YOU MUST NOT USE THE SERVICE.
These Terms constitute a binding agreement between you ("you" or "User") and Sentinel Codes Inc., a business company to be incorporated in Panama ("Sentinel," "we," "our," or "us"). Sentinel reserves the right to update or amend these Terms at any time in its sole discretion. Any changes will become effective upon posting a revised version on the Service. Your continued use of the Service after any such change constitutes your acceptance of the revised Terms.
1. Eligibility and Jurisdictional Restrictions
1.1 Age. You represent that you are at least eighteen (18) years of age and have full legal capacity to enter into and comply with these Terms.
1.2 Restricted Territories. The Service is not offered to, and must not be used by: (a) any natural person located in, citizen or resident of, or entity incorporated or organized under the laws of (i) the United States of America (including its territories), (ii) the People’s Republic of China, or (iii) any jurisdiction that is the subject of comprehensive economic sanctions or embargoes administered by the United Nations, United Kingdom, European Union, or Panama; (b) any person or entity listed on, or owned or controlled by a person or entity listed on, the U.S. Department of the Treasury’s Office of Foreign Assets Control ("OFAC") Specially Designated Nationals and Blocked Persons List or any similar sanctions list; or (c) any person or entity whose access to the Service would be illegal or otherwise prohibited under the laws of the jurisdiction in which that person or entity is located or incorporated.
1.3 No Circumvention. You must not use a virtual private network ("VPN"), proxy, or any other technique to circumvent the restrictions described in Section 1.2.
2. Description of the Service
2.1 Technical Interface. The Service provides a non‑custodial software interface enabling Users to interact with certain ERC‑2646 vault smart contracts ("Vaults") deployed on the IPOR Protocol, including depositing digital assets, withdrawing assets, and viewing vault information.
2.2 No Custody. All transactions are executed directly on public blockchains by Users through their self‑hosted wallets. Sentinel never holds, transfers, or has control over Users’ digital assets.
2.3 Relationship to IPOR. Sentinel is an independent third‑party developer. The IPOR Protocol and its smart contracts are owned by the IPOR Protocol itself.
3. Wallet Connection and User Responsibilities
3.1 Wallet Signature. To use the Service, you must connect a compatible blockchain wallet. By connecting, you authorize Sentinel to read and display information associated with your public wallet address.
3.2 Security. You are solely responsible for maintaining control of your wallet credentials (including private keys and seed phrases) and for all transactions executed via your wallet. Sentinel will not be liable for any loss or damage arising from unauthorized access to your wallet.
3.3 Network Fees. You are solely responsible for paying all network transaction fees ("Gas Fees") associated with your use of the Service. Gas Fees are non‑refundable and payable directly on‑chain.
4. Fees
4.1 Vault Fees. The Vaults may charge on‑chain management and/or performance fees as configured, and allowed by the IPOR Protocol governance. Sentinel does not levy any additional service fees beyond Vaults configuration. IPOR governance fees parameters may change via their protocol governance, and your continued use of a Vault after such changes constitutes acceptance of the revised fee schedule.
5. Prohibited Conduct
You agree that you will not:
violate any applicable law, regulation, or court order;
use the Service for fraudulent, deceptive, or malicious purposes, including money laundering or terrorist financing;
infringe or misappropriate any intellectual‑property, privacy, or other proprietary right;
deploy or interact with smart contracts containing malicious code or designed to disrupt or harm the Service or its users;
interfere with or disrupt the integrity, security, or performance of any blockchain network, smart contract, or the Service; or
attempt to circumvent any content‑filtering or access‑control technology.
6. Disclaimers
6.1 No Advice. All content and information provided through the Service is for general informational purposes only and does not constitute investment, financial, legal, or tax advice. Sentinel does not act as, and nothing in the Service shall be construed as creating, a broker‑dealer, investment adviser, or fiduciary relationship.
6.2 AS IS. The Service and all associated software, content, and interfaces are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including, without limitation, warranties of merchantability, fitness for a particular purpose, title, and non‑infringement.
6.3 Risk Acknowledgement. You acknowledge that digital assets and decentralized finance involve inherent risks, including, but not limited to: smart‑contract vulnerabilities; protocol failures; hacking, phishing, and other cyber‑attacks; blockchain network congestion; extreme market volatility; and possible total loss of assets. You expressly assume all such risks.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Sentinel, its affiliates, and their respective officers, directors, employees, contractors, and agents shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with:
(a) your access to or use of, or inability to access or use, the Service;
(b) any conduct or content of any third party on the Service;
(c) any content obtained from the Service; or
(d) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not Sentinel has been advised of the possibility of such damages. Sentinel shall be liable only to the extent of actual and direct damages incurred by you, and nothing in this Section shall exclude or limit liability that cannot be excluded or limited under applicable law.
8. Indemnification
You agree to indemnify, defend, and hold harmless Sentinel, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
(a) your use or misuse of the Service;
(b) your breach of these Terms; or
(c) your violation of any applicable law or the rights of any third party.
9. Governing Law and Binding Arbitration
9.1 Governing Law. These Terms and any dispute or claim arising hereunder shall be governed by and construed in accordance with the laws of Panama, without regard to conflicts-of-law principles.
9.2 Arbitration Agreement. Any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or any transaction contemplated hereby shall be finally resolved by binding arbitration administered by the Centro de Conciliación y Arbitraje de Panamá (CeCAP) in accordance with its Arbitration Rules then in effect. The seat and legal place of arbitration shall be Panama City, Republic of Panama. The tribunal shall consist of a sole arbitrator appointed in accordance with those Rules. The language of the arbitration shall be English. The arbitrator’s award shall be final and binding on the parties and may be entered and enforced in any court of competent jurisdiction. Each party shall bear its own costs and expenses of the arbitration; the fees and expenses of the tribunal shall be allocated in accordance with the arbitrator’s award.
9.3 Waiver of Class Actions. YOU AND SENTINEL AGREE THAT ANY ARBITRATION OR COURT PROCEEDING SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
10. Modifications to the Service and Terms
Sentinel may, at its sole discretion, modify, suspend, or discontinue the Service, or any part thereof, at any time without notice. Sentinel may also modify these Terms from time to time. Updated Terms will be posted on the Service with a "Last Updated" date. Your continued use of the Service following any update constitutes your acceptance of the revised Terms.
11. Termination
Sentinel may suspend or terminate your access to the Service at any time, with or without cause or notice, including if we believe you have violated these Terms. Upon any termination, Sections 6 through 13 will survive.
12. Miscellaneous
12.1 Entire Agreement. These Terms constitute the entire agreement between you and Sentinel regarding the subject matter hereof and supersede all prior or contemporaneous agreements, understandings, and communications, whether written or oral.
12.2 Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12.3 Assignment. You may not assign or transfer any rights or obligations under these Terms without Sentinel’s prior written consent. Sentinel may assign these Terms without restriction.
12.4 No Waiver. No waiver of any term by Sentinel shall be deemed a further or continuing waiver of such term or any other term.
12.5 Headings. Section headings are for convenience only and shall not affect the interpretation
